1. LEGALLY BINDING AGREEMENT AND CORPORATE IDENTITY

These Terms of Service ("Terms", "Agreement") constitute a legally binding contract entered into by and between you, whether personally or on behalf of an entity ("User", "Purchaser", "you") and YEK COMMERCE LLC ("Company", "we", "us", or "our"), a limited liability company organized and existing under the laws of the State of Wyoming, headquartered at 1021 E Lincolnway Unit #1763, Cheyenne, WY 82001.

This Agreement governs your access to and use of our digital storefront, e-commerce infrastructure, and the purchase of any home improvement materials, hardware, power tools, or ancillary services provided by us. By accessing our platform, initiating a transaction, or otherwise interacting with our services, you expressly acknowledge that you have read, comprehended, and unconditionally agreed to be bound by all stipulations contained herein. If you do not agree with all of these Terms, you are strictly prohibited from using our services and must discontinue use immediately.

2. EXCLUSIVE DOMESTIC JURISDICTION (UNITED STATES ONLY)

YEK COMMERCE LLC is a strictly domestic enterprise. Our operations, commercial offerings, and fulfillment capabilities are unconditionally restricted to the United States of America.

We categorically do not participate in, authorize, or facilitate cross-border commerce, international shipping, or the exportation of our goods. By utilizing our platform, you legally warrant and represent that you are residing within the United States, your payment methods are drawn from U.S. financial institutions, and your designated shipping address is located securely within the U.S. borders. Any attempt to circumvent this domestic exclusivity via third-party freight forwarders or international transshipment entities is a material breach of this Agreement and will result in immediate order cancellation and forfeiture of consumer protection rights.

3. ORDER PROCESSING, FULFILLMENT TIMELINES, AND DELAYS

As a supplier of critical home improvement materials, we understand the dependency of construction and renovation schedules on the timely arrival of goods. We legally bind our operations to the following stringent logistical timelines:

• Handling Time: All verified orders require a mandatory 1 to 2 business days handling time for processing, structural packaging, and pre-dispatch quality assurance.

• Transit Time: Upon successful handover to our domestic carrier partners, standard delivery is strictly governed by a 3 to 5 business days transit time.

While we execute our operational mandates with the highest degree of precision, YEK COMMERCE LLC shall not be held liable for incidental, consequential, or economic damages (including but not limited to contractor delay fees, halted construction projects, or lost wages) arising from unforeseen carrier delays, acts of God (force majeure), or severe weather disruptions affecting domestic logistics networks.

4. HOME IMPROVEMENT SECTOR: ASSUMPTION OF RISK AND SAFETY LIABILITY

The catalog of merchandise offered by YEK COMMERCE LLC includes industrial-grade hardware, heavy building materials, electrical components, and high-torque power tools. The procurement, handling, installation, and utilization of such goods inherently involve significant risks of physical injury, property damage, and in severe cases, fatality.

By purchasing from our catalog, you expressly acknowledge and legally assume all risks associated with DIY (Do-It-Yourself) projects and professional installations. You agree to the following safety and compliance stipulations:

• Professional Installation Requirement: Certain electrical, plumbing, and structural fixtures must legally be installed by licensed and bonded contractors in accordance with your local, municipal, and state building codes. YEK COMMERCE LLC categorically disclaims any liability for structural failures, fires, water damage, or personal injury resulting from improper, unlicensed, or negligent installation of our products.

• Adherence to Safety Guidelines: You agree to rigorously read and follow all manufacturer safety warnings, instruction manuals, and operational guidelines before utilizing any tools or hardware purchased from us. Appropriate Personal Protective Equipment (PPE) must be utilized at all times.

5. ACCURACY OF BILLING, PRICING, AND TYPOGRAPHICAL ERRORS

We reserve the right to refuse any order placed with us. We may, at our sole discretion, limit or cancel quantities purchased per person, per household, or per order. In the highly volatile market of raw materials and hardware, pricing is subject to unannounced fluctuations.

In the event that a product is listed at an incorrect price or with incorrect structural specifications due to a typographical error, systemic glitch, or erroneous pricing information received from our manufacturing partners, YEK COMMERCE LLC shall possess the absolute right to refuse or cancel any orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed and your payment method charged. If your payment method has already been charged, we shall immediately issue a full credit back to your account.

6. DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY MANDATED BY U.S. FEDERAL LAW, ALL PRODUCTS AND SERVICES PROVIDED BY YEK COMMERCE LLC ARE DELIVERED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE QUALITY OF ANY HARDWARE, FIXTURE, OR MATERIAL PURCHASED BY YOU WILL MEET YOUR SUBJECTIVE EXPECTATIONS OR EXACT PROJECT REQUIREMENTS.

7. LIMITATION OF CORPORATE LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISPRUDENCE, IN NO EVENT SHALL YEK COMMERCE LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE OR ANY PRODUCT.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless YEK COMMERCE LLC and our parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, from any claim, demand, or legal action—including reasonable attorneys’ fees—made by any third party due to or arising out of your breach of these Terms of Service, your violation of any municipal building code or state law, or your negligent use and installation of the products purchased from our platform.

 

9. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms of Service and any separate agreements whereby we provide you services shall be strictly governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or our products shall be instituted exclusively in the federal or state courts situated within Wyoming.
